The steps to register a private limited company with the CRO are:
- Step 1: Data collection
- Step 2: Name reservation
- Step 3: Documents verification
- Step 4: Setting up the constitution
- Step 5: Get registration certificate
If at least one director is a resident in Ireland, you can proceed with the standard registration.
Non-resident directors may need to meet additional requirements.
Step 1: Data Collection
There are a couple of things that you need to arrange before starting the registration.
- Company name
- Registered business address
- Directors & secretary details
- Share distribution ratio
Once you have these details, click here to start registration. If you would like to understand more, read through.
Step 2: Name Reservation
Once the application form is received, we will start:
- Submit your company name to the CRO for approval
- Review the information provided in detail
Company name reservation is a paid CRO service and costs €28.
However, no payment is required at this stage. If your company is successfully incorporated within 28 days of the name reservation approval, this fee will be credited against your company registration fees. The name has to be unique, and it should follow the naming criteria of the CRO. We will receive the name confirmation within 2 working days.
During this time, we will complete the review. If any additional information is required, we will contact you.
Step 3: Documents Verification
Once the above step is completed, an AML compliance secured link will be sent to all of your emails for document collection. All parties involved in the company must upload their documents.
Required documents are:
- Copy of the passport
- Copy of the latest address proof.
Once the verification is done, we move to the next step.
Step 4: Setting up the Constitution
We will prepare the company constitution and send it to you for review and signatures.
The constitution must be signed (as per the CRO guidelines) by all the directors and the secretary and returned to us.
Once we receive this, we will proceed with the final submission to the CRO.
Step 5: Get Certificate of Incorporation
CRO will process the applications depending on the queue.
Normally, within 7-10 working days, the company will be registered. You will get the incorporation certificate via email.
After that, one of our senior company formation specialists will arrange an onboarding call with you.
We will explain the key tax obligations and compliance requirements applicable to your business, answer any questions you may have, and guide you through the next steps of operating your company in Ireland.
