What is a Company Limited by Guarantee (CLG)?
A CLG is a type of legal entity in Ireland that’s primarily used for non-profit, charitable, or social enterprises. Unlike a limited company, a CLG does not have a share capital, and its members are not shareholders.
This structure offers the benefits of limited liability, protecting the personal assets of its members from the company’s debts.
Important Points
- Usually formed for charitable, social, or professional purposes
- At least two directors (at least 18 years old) are required.
- A company secretary must also be appointed (can be one of the directors or an external party).
- Once registered, we need to apply for a Tax Registration Number (TRN) via the Revenue Online Service (ROS)
- If the company is a charity, apply for charitable tax exemption with the Revenue
- A CLG must maintain certificate of incorporation, company constitution, beneficiary ownership registration document & tax registration number (TRN) for official matters
Step 1: Data Collection
There are a couple of things that you need to arrange before starting the registration.
- Company name
- Registered business address
- Directors & secretary details
Once you have these details, click here to start registration. If you would like to understand more, read through.
Step 2: Name Reservation
Once the application form is received, we will start:
- Submit your company name to the CRO for approval
- Review the information provided in detail
Company name reservation is a paid CRO service and costs €28.
However, no payment is required at this stage. If your company is successfully incorporated within 28 days of the name reservation approval, this fee will be credited against your company registration fees.Step 3: Documents Verification
Once the above step is completed, an AML compliance secured link will be sent to all of your emails for document collection. All parties involved in the company must upload their documents.
Required documents are:
- Copy of the passport
- Copy of the latest address proof.
Once the verification is done, we move to the next step.
Step 4: Setting up the Constitution
A CLG must have a constitution that outlines the company’s purpose & the rules for company governance.
The constitution must be signed (as per the CRO guidelines) by all the directors and the secretary and returned to us.
Once we receive this, we will proceed with the final submission to the CRO.
Step 5: Get Certificate of Incorporation
CRO will process the applications depending on the queue.
Normally, within 7-10 working days, the company will be registered. You will get the incorporation certificate via email.
After that, one of our senior company formation specialists will arrange an onboarding call with you.
We will explain the key tax obligations and compliance requirements applicable to your business, answer any questions you may have, and guide you through the next steps of operating your company in Ireland.
A Note on Converting to a Charity
If you intend for your CLG to eventually become a registered charity, it is vital to be strategic during the initial registration. If you add a large number of people as subscribers to the board, you will be required to convert all of them to directors if you want to officially convert to a charity in the future. Planning for this possibility from the outset can save significant complications down the line. What’s Next?
After the onboarding report, our team will complete any additional mandatory registrations for your business.
